Terms of Service

These Terms of Service (“Terms”) govern your access to and use of CoverSynx (the “Service”), operated by [Your Company Legal Name](“we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What the Service is (and is not)
CoverSynx is a software tool that helps you collect, organize, track, and set reminders for vendors’ certificates of insurance (COIs) and related documents. It includes AI-assisted features that extract information from documents and flag potential gaps against requirements you define.
CoverSynx is not an insurance broker, agent, producer, advisor, or insurer. We do not sell insurance, provide insurance advice, or determine what coverage you or your vendors should carry. We do not certify, guarantee, or warrant that any certificate, policy, or coverage is accurate, valid, adequate, or in force. All AI-generated output is provided to assist you and must be reviewed and confirmed by you. You are solely responsible for your insurance, compliance, and risk-management decisions.
2. Accounts
You must provide accurate information and are responsible for safeguarding your account credentials and for all activity under your account. You must be authorized to act on behalf of any organization you register.
3. Acceptable use
You agree not to misuse the Service, including: uploading unlawful content; infringing others’ rights; attempting to breach security or access data that isn’t yours; reverse-engineering the Service; or using it to violate any applicable law or regulation.
4. Customer data
You retain ownership of the data you and your vendors submit (“Customer Data”). You grant us a limited license to process Customer Data solely to provide and improve the Service, as described in our Privacy Policy. You represent that you have the right to submit the Customer Data and to share vendor information with us for processing.
5. Subscriptions, billing, and trials
Paid plans are billed on a recurring basis (monthly or annually) through our payment processor. Fees are stated at sign-up. Subscriptions renew automatically until cancelled. You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Except where required by law, fees are non-refundable. Free trials, if offered, convert to paid plans unless cancelled before the trial ends.
6. Third-party services
The Service relies on third parties (for example, hosting, database, authentication, payment processing, email delivery, and AI processing). Their use is described in our Privacy Policy. We are not responsible for third-party services’ availability or acts.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT AI EXTRACTION OR COMPLIANCE FLAGS WILL BE ACCURATE OR COMPLETE, OR THAT REMINDERS WILL BE DELIVERED. YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING ALL INSURANCE INFORMATION.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, [Your Company Legal Name] AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM UNINSURED OR UNDERINSURED VENDORS, LAPSED COVERAGE, MISSED REMINDERS, OR RELIANCE ON AI OUTPUT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
9. Indemnification

10. Termination
